Financial Advisory Services
The following is a selection of projects where our professionals have provided services to clients.  

Financial Services

·  Provided the $34 billion financial services division of a $172 billion conglomerate with assistance in its $13.8 billion acquisition of a cash flow and asset
based lending business from a bulge bracket investment bank.

Consumer Products

·  Assisted the strategic planning group of a $760 million consumer products company (media and entertainment) including development of financial models
for products introductions, green-lighting new projects and corporate planning.

Technology, Media & Telecommunications

· Advised on the development of business and financial models for a start-up company and providing advisory services in raising $5 million from venture
capital firms.  Assisted with financial function until full-time CFO was hired.   Entity later recognized as a top growth company in its regional market.

· Assisted a $25 billion public telecommunications company with restatement of financial statements and emergence from the largest bankruptcy in US
history.  This included analysis and valuation of businesses, preparation of special situation SEC reporting, ‘fresh start’ implementation assistance,
improving corporate governance and control environment under Sarbanes Oxley, and reviewing monthly operating statements required under bankruptcy
code (SOP 90-7).

· For a $600 million public software company, determined the purchasing accounting (calculation and allocation of purchase price under APB 16 and FAS 141
and FAS 142) on seven (7) separate transactions with purchase prices ranging from $35 to $210 million.  Project extended to include review of revenue
recognition issues related to certain sales contracts (VSOE and other issues under SOP 97-2, SOP 98-9, SAB 101 and EITF-0021).

Manufacturing & Materials

·  Provided advice to foreign buyer in its purchase of a $30 million metal alloy manufacturer based in the US.  Identified need for and recommended purchase
price adjustment mechanism that led to an 18% price reduction.  Led negotiation to realize price adjustment savings.
